deployed logix Dealer of Record (DOR) Program
1. What is a DOR?
A Dealer of Record (DoR) is a non-exclusive DLX distributor who, by notifying DLX in writing of a specific opportunity it is working, receives a preferential pricing right (“Right of Preference”) on that opportunity.
- A DoR does not grant exclusivity of territory, customer, or product.
- The Right of Preference applies only to the specific opportunity that was registered and approved, it does not automatically extend to future projects, or derivative projects.
- If DLX initiated the project before the request was received, no DoR will be granted.
2. RIGHT OF PREFERENCE
The Right of Preference only applies when:
- the dealer identifies the opportunity or has been developed by the dealer;
- the opportunity has not previously been registered by another dealer;
- the dealer submits a written Project Registration Form (the DoR form);
- DLX confirms acceptance in writing.
Once confirmed:
- DLX will not intentionally compete against that dealer for the registered opportunity;
- other dealers will not receive pricing for that specific project.
The Right of Preference applies only to the registered opportunity, not to the customer in general.
3. ELIGIBILITY REQUIREMENTS
- Active DLX distribution agreement, in good standing (no outstanding payment, reporting, or commercial-term defaults).
- Active sales history of DLX products.
- Dealer is actively working on the opportunity. The request must be submitted before the dealer presents a bid or quote to the customer.
A separate request for each opportunity, the form must be fully completed, with no blank fields.
4. STEP-BY-STEP PROCESS
- Dealer identifies the opportunity and confirms DLX has not already initiated it, before bidding.
- Dealer completes the DoR form in full, with no blank fields.
- Dealer submits the form to sales@deployedlogix.com.
- DLX confirms receipt of the request in writing, within 3 business days.
- DLX evaluates the request against eligibility requirements and resolves conflicts if more than one dealer applied, within 5 business days.
- DLX sends an approval or denial letter.
- Dealer quotes the customer without exceeding MSRP / list price throughout the validity period, unless written authorization is granted.
- Dealer requests renewal, 15 days before expiration, if the opportunity is still active.
5. VALIDITY, RENEWAL, AND TERMINATION
- The DoR is valid for 120 days from the approval date.
- Renewal must be requested before expiration; it is not automatic and is subject to the opportunity still being active and the dealer still meeting the requirements. The renewal request must include a written justification explaining why the renewal is needed.
- DLX may revoke a DoR before its expiration if: (a) the information submitted is found to be false or incomplete; (b) the distribution agreement terminates or enters default; (c) the dealer quotes the customer above MSRP without written authorization; or (d) the dealer stops actively pursuing the opportunity.
6. CONFLICTS BETWEEN DEALERS
If two or more dealers request a DoR for the same opportunity, DLX will grant the preferential right to whichever submitted a complete, valid request first, based on the date/time stamp of receipt. DLX may also consider the dealer’s commercial relationship and execution capability in resolving the case, at its sole discretion. DLX’s decision is final.
7. CONFIDENTIALITY AND LIABILITY
- Customer and opportunity information is confidential and for use solely in pursuing the registered opportunity; it may not be shared with third parties or used for any other purpose.
- Granting a DoR does not guarantee the project will be awarded. DLX assumes no liability for a lost bid, changes to the buyer’s scope, or dealer quotes that exceed the authorized price.
